Terms of Use

Please read these Terms carefully before using OKR Planner.

These Terms of Use ("Terms") govern your access to and use of the OKR Planner ("Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

  • OKR Planner: SaaS platform for managing Objectives and Key Results (OKRs) with features for teams, users, check-ins, weighted progress, overdue alerts, dashboards, and integrations.
  • You or User: the individual or legal entity that accesses and uses the Service.
  • Workspace: a multi-tenant instance identified by a unique slug where an organization’s data is managed.
  • Plans: subscription tiers for the Service, including Pro and Enterprise.

2. Service Description

OKR Planner provides features for creating and tracking Objectives and KRs, weighted progress, recurring check-ins, team and user management, visualizations and performance indicators, real-time functionality (Supabase Realtime), and AI resources to assist with OKR analysis.

Access is multi-tenant by workspace (via slug), with roles such as admin and collaborator (shown in the frontend as Team Member) that control editing and viewing permissions.

3. Account & Authentication

  • Sign-in via supported providers (e.g., Google) using Auth.js.
  • You are responsible for keeping your credentials confidential.
  • We may request additional verification and suspend accounts in case of violations or suspected misuse.

4. Plans, Billing & Payments

  • Pro: US$7 per user/month.
  • Enterprise: customized terms (pricing, SSO, SLA, and volume).

Prices may be updated with prior notice. Taxes may be added according to your jurisdiction. Payments are processed by third-party providers and are subject to their terms.

5. Cancellation & Refunds

  • Cancel anytime; access continues until the end of the paid cycle.
  • Unless required by law or expressly offered, fees are non-refundable.
  • For Enterprise, the negotiated terms prevail.

6. Acceptable Use

Prohibited activities include, without limitation:

  • Violating laws or third-party rights;
  • Bypassing access controls or probing vulnerabilities;
  • Introducing malicious code or overloading infrastructure;
  • Publishing illegal, offensive, discriminatory, or defamatory content;
  • Using the Service for spam or unauthorized data collection.

7. User Content

You retain rights to the content you submit and must have the necessary permissions. By using the Service, you grant a non-exclusive, worldwide, royalty-free license to operate and improve the Service (to store, process, and display your content to you and authorized members of your workspace).

8. AI Features

  • AI outputs may contain inaccuracies; review before use.
  • Avoid submitting sensitive data beyond what is necessary.
  • Workspace data (objectives, KRs, teams, etc.) may be used as context, respecting your access controls.

9. Intellectual Property

OKR Planner—its code, layout, trademarks, design, and other elements—is protected. No rights are granted beyond what is necessary to use the Service under these Terms.

10. Privacy & Data

We process data such as name, email, avatar, team, role, last login, and information related to your OKRs and workspaces. Data is primarily stored in Supabase.

  • We observe applicable laws (including Brazil’s LGPD, where relevant). See also our Privacy Policy.
  • You may request access, correction, and deletion within legal limits.
  • We may retain data to comply with legal, audit, and security requirements.

11. Security

We adopt reasonable security practices (encryption in transit, access controls, workspace-level segregation). No system is 100% secure; follow good practices for access and team management.

12. Support & SLA

Support is available during business days/hours unless otherwise agreed in Enterprise. We do not guarantee uninterrupted availability; any formal SLA applies only if contractually agreed.

13. Modifications

We may change the Service (including, modifying, or discontinuing features such as check-ins, weighted progress, dashboards, and AI) as well as these Terms. We will notify you of material changes by reasonable means. Continued use indicates acceptance.

14. Suspension & Termination

We may suspend/terminate access due to violations of the Terms, security risks, delinquency, or legal orders. You may terminate at any time. After termination, access to content may be disabled, subject to legal retention obligations.

15. Disclaimers

The Service is provided "as is" and "as available," without warranties of merchantability, fitness for a particular purpose, non-infringement, or continuous availability, to the maximum extent permitted by law.

16. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for lost profits, data loss, or any indirect, special, incidental, consequential, or punitive damages. Our total liability is limited to the amount you paid in the 12 months preceding the event.

17. Indemnification

You will indemnify us against third-party claims arising from your use of the Service, your violation of these Terms, or your infringement of third-party rights.

18. Governing Law & Jurisdiction

These Terms are governed by the laws of Brazil. Chosen forum: the courts of São Paulo/SP, unless otherwise required by law.

19. General Provisions

  • Entire Agreement: these Terms constitute the entire agreement.
  • Assignment: we may assign; you may not assign without prior consent.
  • Notices: via email, in-product messages, or other reasonable means.
  • Severability: if any clause is unenforceable, the remainder remains in effect.
